INDEPENDENT CONTRACTOR SERVICE AGREEMENT

This Service Agreement (the "Agreement") is made effective as of 2026-06-21, by and between [YOUR NAME / COMPANY] ("Provider") and [CLIENT NAME / COMPANY] ("Client").

1. Services

Provider agrees to provide the following services (the "Services"):

2. Payment and Invoicing

Client agrees to pay Provider for the Services as follows: [PAYMENT RATE].

Provider shall invoice Client upon completion of the Services or on a schedule otherwise agreed to in writing. Payment shall be made within thirty (30) days of receipt of a valid invoice.

Late payments shall accrue interest at a rate of 1.5% per month, or the maximum rate permitted by law, whichever is less.

3. Cancellation & Kill Fee

In the event that Client terminates the project after work has commenced, a kill fee equal to 50% of the total project fee shall be due immediately to compensate Provider for reserved time and resources.

4. Relationship

Provider's relationship with Client is that of an independent contractor. Provider is solely responsible for all taxes, withholdings, and other statutory obligations.

5. Intellectual Property

Upon full and final payment, Provider assigns to Client all rights, title, and interest in any deliverables created specifically for Client under this Agreement.

6. Portfolio Rights

Client grants Provider the non-exclusive right to use Client's name and logo, and to display the completed Services in Provider's portfolio and marketing materials.

7. Governing Law

This Agreement shall be governed by the laws of the State of [STATE].

Operating without a contract isn't just risky; it's unprofessional. A strong agreement sets the boundaries of the engagement, clearly defines expectations, and ensures you get paid on time.

  • Master Service Agreement (MSA): If you plan to do ongoing work with a client, establish an MSA first. This covers the high-level legal terms (IP ownership, confidentiality, termination).
  • Statement of Work (SOW): Use an SOW for specific projects under an MSA. This allows you to quickly start new projects without renegotiating the entire legal framework. Keep the scope of work highly specific. If a task isn't in the SOW, it's out of scope.
  • Non-Disclosure Agreement (NDA): NDAs are standard before discussing proprietary business details. Ensure they are mutual, protecting your proprietary frameworks and methodologies just as much as the client's data.
